These Terms and any dispute arising out of or related to your use of the Site shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law principles.
To the extent that any legal proceeding is permitted under these Terms (including matters not subject to arbitration), you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Palm Beach County, Florida.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator in Palm Beach County, Florida.
Class Action Waiver: YOU AND HANKSUGI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Individual Claims Only: All claims must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. This waiver applies to class arbitration as well. Unless both you and Hanksugi agree otherwise, the arbitrator may not join or consolidate claims by or for more than one individual.
Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
Costs: Each party shall bear its own costs and attorneys' fees in any arbitration proceeding, except as otherwise required by applicable law or as determined by the arbitrator.
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
Hanksugi reserves the right to update, revise, or modify these Terms at any time and at its sole discretion. When we make changes, we will update the "Last updated" date at the top of this page. Material changes may also be communicated through a notice on the Site's homepage or other appropriate means.
